Temigis Platform Terms of Service

1. Introduction & Scope

These Platform Terms of Service ("Terms") govern your access to and use of the Temigis life-sciences intelligence platform (the "Platform"), operated by Mindsight AI Pty Limited, ACN 680 002 233. By clicking "I Accept", registering for an account, or logging into and utilising the Platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation. Your use of the Platform is also subject to our Privacy Policy, which is incorporated by reference into these Terms.

2. Enterprise Access and Security

• Discretionary Authorisation: We reserve the right to grant, refuse, or revoke account registration and platform access at our absolute and sole discretion.
• Authorised Use: Access is granted strictly to authorised users. You may not share your login credentials, password reset links, or Platform access with unauthorised individuals or third parties.
• Account Management: We reserve the right to suspend or terminate access if we detect unauthorised sharing, suspicious activity, or a breach of these Terms.
• Audit Trails and Retention: To ensure platform security, diagnostic integrity, and compliance with enterprise standards, all user queries and interactions are securely logged in deidentified form. While the Platform may provide user-interface controls to hide or clear past sessions from your personal view, these interactions remain securely archived in our infrastructure.

3. Subscriptions, Token Limits, and Payment

• Resource Allocation & Token Limits: Your use of the Platform's AI analysis tools and database searches is subject to a monthly token allocation. Once your token limit is reached, access to intelligence generation will be automatically paused until your next billing cycle resets, or until your organisation upgrades to a higher-tier subscription. Token usage is tracked and managed transparently within your account interface.
• Freemium Flexibility: For users on a free tier, we reserve the right to modify, reduce, or impose fees on the free token allocation or free tier features at any time, upon providing reasonable notice to you.
• Fees and Taxes: If you upgrade to a paid tier, you agree to pay all applicable fees as presented at the time of purchase. Unless otherwise stated, all fees are exclusive of the Australian Goods and Services Tax (GST) and any other applicable taxes. All payments are non-refundable except as required by law.

4. Nature of Insights, Data Limitations, and Disclaimers

• Decision Support Only: Temigis aggregates and analyses complex data (including Medsafe and other regulatory databases) to provide consultant-grade insights. However, the Platform is a decision-support tool. It is NOT a substitute for formal legal, regulatory, or medical advice.
• Accuracy & Supplier Liability: While we prioritise a "decision-grade data foundation", Mindsight AI Pty Limited does not warrant that every AI-generated output will be perfectly accurate, complete, or up-to-date. Furthermore, while care has been taken in compiling the underlying New Zealand Universal List of Medicines (NZULM), the NZULM and its suppliers take no responsibility for any errors, omissions, or inaccuracies, and will not be liable for any consequences arising from the use of this information.
• Data Export Risks (SCTIDs): Certain database exports may contain SNOMED CT IDs (SCTIDs), which are 18-character strings. If you export this data into spreadsheet software (such as Microsoft Excel), you must format these columns as 'text'. Failure to do so will result in numeric truncation and permanent data corruption.
• Unregistered Medicines (Section 29): Temigis search results may include "Section 29" medicines. These are medicines not registered for sale in New Zealand but supplied on compassionate grounds. As such, they will not possess Medsafe registration data within the Platform.

5. Intellectual Property, Acceptable & Fair Use

• Mindsight AI IP: Mindsight AI Pty Limited retains all ownership, copyright, and intellectual property rights to the Temigis Platform, its underlying algorithms, user interface, and proprietary data models.
• Prompts and Outputs: You retain all rights to the text, data, or materials you input into the Platform ("Prompts"). Mindsight AI Pty Limited assigns to you all its right, title, and interest in and to the AI-generated responses provided to you ("Outputs"). However, you acknowledge that the Platform relies on third-party databases. As such, your ownership and use of the Outputs are strictly subject to the licensing terms of those underlying data providers, as detailed on our Data Attributions page.
• License to Mindsight AI: You grant Mindsight AI Pty Limited a worldwide, non-exclusive, royalty-free license to host, reproduce, and use your Prompts and Outputs to provide the Platform services to you, to ensure legal and security compliance, and to train, develop, and improve our artificial intelligence models and algorithms (unless you are on a subscription tier that explicitly opts out of data training).
• Prohibited Actions: You agree not to reverse-engineer the Platform, scrape data, attempt to bypass token limits, or use Temigis Outputs or Prompts to train competing artificial intelligence models. Furthermore, you shall not attempt to disrupt, impair, corrupt, or otherwise interfere with the operation, security, or integrity of the Temigis platform, its servers, or its databases.
• Fair Use Policy (FUP): You must not use the Platform in a way that places an unreasonable or disproportionately large load on our infrastructure (e.g., rapid automated queries, abusive API calls). We reserve the right to throttle, suspend, or terminate accounts that violate this Fair Use Policy.

6. Indemnification

You agree to indemnify, defend, and hold harmless Mindsight AI Pty Limited, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, your misuse of the Platform, your corruption of platform data, or any medical, regulatory, or business decisions made in reliance on the Platform's Outputs.

7. Limitation of Liability and Statutory Guarantees

• Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be lawfully excluded. To the extent permitted by law, our liability for a breach of a non-excludable guarantee is limited, at our option, to the supplying of the services again or the payment of the cost of having the services supplied again.
• Liability Cap: To the maximum extent permitted by applicable law, Mindsight AI Pty Limited shall not be liable for any indirect, strategic, financial, or consequential damages arising from business decisions made in reliance on insights generated by the Platform. Our total aggregate liability regarding your use of the Platform is strictly limited to the greater of: (a) the subscription fees paid by your organisation in the twelve (12) months preceding the claim; or (b) $100 AUD.

8. Term and Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and without notice or liability to you. Upon termination, your right to use the Platform will immediately cease. Sections 4, 5, 6, 7, 10, and 12 shall survive any termination or expiration of these Terms.

9. Amendments to Terms

Mindsight AI Pty Limited reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice via email or a notification within the Platform. By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised Terms.

10. Dispute Resolution

If a dispute arises out of or relates to these Terms, the parties agree to first attempt to resolve the matter in good faith through direct negotiation for a period of thirty (30) days. If the dispute cannot be resolved, either party may request that the matter be referred to mediation in New South Wales before commencing any legal proceedings.

11. Publicity Rights

Unless you provide us with written notice opting out, you grant Mindsight AI Pty Limited the right to use your organisation's name and logo on our website and promotional materials to identify you as a customer of the Platform.

12. General Provisions

• Force Majeure: Mindsight AI Pty Limited shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, telecommunications outages, or cyber-attacks.
• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Governing Law: These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.
